Overview
Welcome to OriArtisan Platform! In this agreement, "we", "us" and "the Platform" all refer to OriArtisan. We operate online stores and official websites, integrating diverse information, content, practical tools, products and services, dedicated to delivering premium shopping experiences for consumers (collectively referred to as the "Services"). The Platform is built and operated based on Shopline e-commerce system to provide users with various online services.
The service terms below together with all platform rules and policies cited herein (jointly the "Terms of Service") define your rights and obligations when using our platform services.
Please read these Terms carefully as they cover important legal rights, disclaimers and liability limitations.
By browsing, interacting with or accessing platform services, you unconditionally agree to be bound by these Terms and our Privacy Policy [Link]. If you disagree with any content herein, please cease using all platform services immediately.
1. Platform Access & Account Usage
You confirm that you have reached the legal age of majority in your residing state or region. You also authorize us to allow minor family members under your guardianship to use platform services via devices owned, purchased or managed by you.
When using platform services including store browsing and product purchasing, you may be required to submit valid information such as email address, billing address, payment details and shipping address. You warrant that all submitted information is true, complete, up-to-date and legally authorized.
You shall be fully responsible for your account security and all account operations. Account transfer, sale, lending or unauthorized usage by third parties is strictly prohibited.
2. Product Description Rules
We strive to display product appearances accurately in online stores. Nevertheless, slight differences in actual color and appearance may exist due to device models, system settings and screen parameters.
We do not guarantee that physical products will fully match online pictures or meet your personal expectations. We reserve the right to revise product descriptions and remove any products without prior notice. We may also adjust purchase quantity limits for different regions and user groups flexibly.
3. Order Transaction Rules
Submitting an order constitutes a purchase offer. OriArtisan reserves the right to accept or reject any order unconditionally. An order takes effect only after official confirmation and successful payment collection. Please verify order information carefully before submission; order cancellation is generally unavailable after confirmation. We will notify you via reserved email or phone if we reject, adjust or cancel orders.
All return and exchange procedures shall be handled strictly in accordance with our Return Policy [Link].
All purchased products are limited to personal and household use only; commercial resale and export are forbidden.
4. Pricing & Settlement Rules
Product prices, discounts and promotional activities are subject to change without prior notice. The final settlement price shall be subject to the real-time price on your order date, which will be stated clearly in order confirmation emails. Unless otherwise specified, displayed prices exclude taxes, shipping fees, service fees and customs duties.
Online store prices may differ from physical stores and third-party retail channels. Exclusive platform promotions shall follow independent rules which prevail in case of conflicts with these Terms.
You must ensure all purchase, payment and account information is authentic and updated timely to guarantee smooth transactions and follow-up communication.
You solemnly confirm:
All credit card payment information is complete and accurate;
You hold legal authorization to complete relevant transactions;
All transactions can be verified and settled normally by card-issuing banks;
You agree to pay all displayed fees including shipping charges and statutory taxes fully.
5. Logistics & Delivery Terms
We shall not be liable for delivery delays. All delivery times are estimated only and not legally binding. We assume no responsibility for delays caused by logistics delays, customs clearance and uncontrollable external factors. Once goods are dispatched by carriers, ownership and risks of damage or loss during transportation shall be transferred to you automatically.
6. Intellectual Property Protection
All platform contents including trademarks, logos, texts, images, designs, user reviews and videos, as well as layout and content arrangement are owned by OriArtisan, affiliated enterprises or authorized parties, protected by global patent laws, copyright laws and other intellectual property laws.
You are granted limited personal non-commercial usage rights only. Without prior written consent, any unauthorized reproduction, distribution, modification, derivative creation, public display, downloading and transmission of platform contents are prohibited. No additional intellectual property rights involving OriArtisan, Shopline or third parties are granted herein. Any unauthorized infringement violates relevant laws, and all unstated rights are fully reserved by OriArtisan.
All OriArtisan brand names, logos, original designs and slogans are registered trademarks. Shopline brand assets belong exclusively to Shopline. Other intellectual properties on the platform shall belong to their legitimate owners respectively.
7. Third-Party Auxiliary Services
We provide access to partial third-party tools while delivering core services. We are not involved in their operation, management or content supervision, and assume no relevant liabilities.
You acknowledge that we only provide access channels without any explicit or implicit warranty on tool performance, nor do we endorse third-party service quality. All risks arising from third-party tool usage shall be borne solely by you. Please carefully read third-party service rules before use. New platform functions launched later shall also be governed by these Terms.
8. Third-Party Website Links
Platform pages may contain external links and embedded third-party plugins. We are not obligated to verify the authenticity and accuracy of external websites. You shall take full responsibility for all risks when accessing third-party platforms independently.
We are not liable for any losses arising from transactions with third-party merchants. Please check their terms carefully and contact relevant third parties directly for disputes or inquiries.
9. Cooperation Statement with Shopline
Merchant Notice: This clause shall not be deleted or modified
OriArtisan builds online stores relying on Shopline e-commerce system to provide shopping services. All transactions conducted in our stores are concluded solely between you and OriArtisan. All disputes, property losses and personal damages arising from transactions have no connection with Shopline. You hereby exempt Shopline and its affiliates from all claims, losses and legal liabilities related to your transactions with OriArtisan.
10. Privacy Protection Policy
All user personal information collected by us shall be managed in strict accordance with our Privacy Policy [Link], and shall also comply with Shopline privacy regulations. By using platform services, you fully acknowledge and accept both privacy policies.
As our platform is hosted by Shopline servers, your access records and personal data will be collected for service optimization. 11. User Feedback Rules
All ideas, suggestions, reviews, cooperation proposals and other content submitted by you via any channel shall be deemed as permanent, worldwide, royalty-free and sub-licensable usage authorization granted to us. We may use such feedback for legitimate commercial operations including brand promotion, service optimization and platform maintenance.
You warrant that you own full legal rights to all submitted content and have declared relevant benefits truthfully. We are not obligated to keep feedback confidential, pay remuneration or reply to all messages.
We reserve the right to monitor, edit or remove illegal, offensive, malicious, vulgar, defamatory and infringing content at our discretion. All user-published content shall not violate third-party legitimate rights or contain harmful programs. You shall take full legal responsibility for the authenticity and legality of your published content.
12. Information Error Handling
Typographical errors, data deviations and content omissions may occasionally occur on platform pages involving product parameters, prices, promotions, shipping fees, delivery cycles and inventory status. We reserve the right to correct all errors and update page information without prior notice, even to cancel confirmed orders.
13. Prohibited Behaviors
Users shall access platform services for legitimate purposes only. The following behaviors are strictly forbidden:
Using services for illegal or malicious purposes;
Violating international conventions and local laws and regulations;
Infringing intellectual property rights of us and third parties;
Harassing, insulting or threatening platform staff and other users;
Spreading false and misleading information;
Uploading or distributing unauthorized illegal files;
Sending spam emails, advertisements and harassing messages in batches;
Operating accounts under false identities;
Conducting any acts damaging platform legitimate interests.
Additional prohibitions:
Spreading computer viruses and malicious codes;
Unauthorized reproduction, resale and exploitation of platform resources;
Illegally collecting other users' private information;
Engaging in phishing, fraud and other illegal activities via the platform;
Crawling platform data via crawlers, automated scripts and AI tools;
Bypassing platform security restrictions and anti-crawler mechanisms.
Once violations are confirmed, we have the right to suspend, permanently freeze or terminate your account without prior notice.
14. Automated Agent Usage Rules
14.1 This clause applies to all users deploying automated programs to access and operate platform services. Automated agents refer to programs that perform platform operations automatically without real-time manual supervision.
14.2 All automated access must clearly mark program attributes. Any automated program prohibited by us shall not access any platform content.
14.3 We may restrict access scope and operation modes of all automated programs via technical means.
14.4 Mandatory rules for automated agents:
Mark program identity clearly in all network requests;
Forbid simulating manual browsing and bypassing human verification;
Truthfully declare access identity during platform verification;
Do not evade access restrictions set for automated tools.
15. Service Termination
We may terminate this agreement or restrict your platform access rights at any time without prior notice. All outstanding fees incurred before termination shall be settled in full by you.
After agreement termination, clauses concerning intellectual property, user feedback, disclaimer, liability limitation, compensation, privacy policy and other clauses which are naturally effective after termination shall remain fully valid.
16. Service Disclaimer
All platform information is for general reference only. We make no warranty regarding its accuracy, completeness and practicality. All decisions made based on platform information shall be at your own risk.
Except for written explicit commitments, all platform services and products are provided on an "as-is" basis. We disclaim all implied warranties including merchantability, fitness for specific purposes, durability and non-infringement. We do not guarantee uninterrupted, delay-free and fault-free platform operation. This disclaimer may not apply in certain jurisdictions where relevant regulations are invalid.
17. Liability Limitation
To the fullest extent permitted by applicable laws, OriArtisan, its partners, staff, agents, suppliers, copyright holders, Shopline and all its affiliated enterprises shall not be liable for personal injury, economic losses, direct losses, indirect losses, consequential damages, punitive damages and derivative losses arising from platform service usage and product purchases, regardless of liability causes.
18. Indemnification Clause
You agree to fully compensate all losses, legal costs and reasonable attorney fees suffered by OriArtisan, Shopline and related parties caused by your violation of these Terms, laws or third-party rights. We will notify you promptly once compensation claims arise. Partial obligations may be exempted if delayed notification causes substantial damage to you. We have the right to initiate dispute settlement with your expense borne, while non-monetary settlement plans require your prior consent. You shall fully cooperate and provide relevant proof materials during dispute handling.
19. Severability
If any clause herein is ruled illegal, invalid or unenforceable by competent authorities, the remaining clauses shall remain fully valid and enforceable within the scope permitted by law.
20. Waiver & Entire Agreement
Failure by us to enforce any right or clause herein shall not constitute permanent waiver of such rights. These Terms together with all published platform policies constitute the entire agreement between both parties, superseding all previous oral and written communications. Ambiguous clauses shall not be interpreted unfavorably against the drafter.
21. Agreement Assignment
You shall not assign or transfer your rights and obligations under this agreement without our prior written approval. We may freely assign all rights and obligations under this agreement without user consent or prior notice.
22. Governing Law & Jurisdiction
These Terms and all supplementary cooperation agreements shall be governed by federal and local laws where OriArtisan is registered. All related disputes shall be submitted to courts located at our headquarters for exclusive jurisdiction, and both parties voluntarily accept such judicial jurisdiction.
23. Clause Headings
All chapter headings are for convenient reading only, having no legal binding force and shall not restrict or modify clause contents.
24. Terms Revision Rules
You may check the latest version of Terms of Service on our official website anytime. We reserve the right to revise, supplement and update all contents herein by releasing official announcements. It is your obligation to keep updated with revised clauses. Major adjustments involving core user rights will be publicly notified in advance, and revised rules take effect on the announced date. Your continued use of platform services after updates confirms your acceptance of new terms.
